Your trust has a seller, servicer, & custodian. We monitor their work & enforce your rights.
Every whole-loan trust fills its seats at closing, with a trustee to hold title, a custodian to hold the files, and a servicer to collect. None of them watches the others. Goldsmith Associates forms the Delaware statutory trust, and its affiliate LoanTrust™ fills the seat that watches the rest… every loan, every party, and every clock. That seat answers to the owner.

Read what everybody agreed to do. Then see what nobody actually does.
Every duty in a trust lives in five contracts, and each one says who shall act, who may, and who stays silent. A right, however, is not a responsibility. Applicable law and NAIC rules let a trust agreement appoint a third-party administrator to run the trust, and Goldsmith Associates writes that role into the agreement. LoanTrust™ fills it so the owner doesn’t have to.

[The trust agreement] may provide for the appointment . . . of officers, employees, managers or other persons who may manage the business and affairs of the statutory trust . . . .
[A third party] would be tasked with reviewing loans for breaches of representations and warranties . . . as well as potentially performing additional duties such as servicer oversight and cash flow reconciliation functions.
[A]ggregate reporting would provide limited actionable information, potentially requiring routine requests for detailed mortgage activity listings to adequately evaluate activity within the trust.
Formed to hold the loans you buy. Run to clear the trades you make.
When one firm forms the trust, another keeps its books, and a third closes its trades, the owner inherits every gap between them. And every gap compounds. Goldsmith Associates forms the trust and manages the trades inside it, and LoanTrust™ administers each series, under one record that follows each loan. No handoff goes unowned.
Protect your trustTrust Formation
Every trust is built around the loans it will hold, with a series for each strategy and a qualifying-trust structure settled before the first purchase. Licensing gets answered first. Passive-trust licensing analysis and FHA, VA, and USDA approvals are lined up at formation, so the trust can buy what it was built to hold.
Trust Administration
Each series keeps its own books and records, with remittances tied out loan by loan, and every custodial exception aged until someone cures it. No claim deadline slips. Instructions go out to the servicer or custodian, inside the owner’s signed authority, so the record shows who decided and why.
Transaction Management
Every trade inside the trust runs on one playbook, from the bid package and diligence scope, through the exception list that prices each loan. Nothing closes on a guess. Funding and post-closing delivery are tracked to the last document, so each loan lands in the trust with a clean file or a known cure.
We monitor each provider’s strict compliance. You, as owner, keep every decision.
Each open job in the trust lands on another party’s month-end report… an aged exception, a short remittance, or a lapsing claim that nobody owns. A finding, however, is not a fix. LoanTrust™ works each one to a decision the owner makes, and Goldsmith Associates enforces that decision against the seller, servicer, or custodian that owes the cure. No claim runs out the clock.

Trust counsel for owners. Trust oversight for beneficiaries.
Goldsmith Associates understands how and why the issues differ between a single-owner vs. a pooled trust, a performing vs. a government-insured pool, and an owner trustee vs. an administrator. Every permutation changes the seat. That judgment carries across formation, administration, and enforcement alike… with a proven track record spanning 871+ closed deals. The owner gets both.

Administration
Since 2020
Government Loan Trust for a Regional Bank
Administrator
For a regional bank buying FHA, VA, and USDA buyout loans, Goldsmith Associates formed a Delaware statutory series trust, and LoanTrust™ has administered it since 2020. The work arrives weekly. LoanTrust™ approves Ginnie Mae remittance withdrawals, repurchase debits, and conveyances, routes lien notices, and keeps each series’ records current.
Formation
Series Launched
Insurer Series Trust for Non-QM Loans
Owner’s counsel
For a mid-sized life insurer, Goldsmith Associates formed a Delaware statutory series trust, then restated it for a first series of non-QM and agency-eligible loans. The sellers signed one master agreement. Each new seller now joins on the same purchase terms, with its loans boarded into a series of their own.
Custody
Certificate Accepted
Custodian Comfort Letter for a Mutual Insurer
Owner’s counsel
A national bank custodian would not hold a mutual life insurer’s trust certificate. It first needed the beneficiary to confirm how the certificate tied to the loans beneath it. Goldsmith Associates drafted the comfort letter. The custodian accepted it and took the certificate into custody as the insurer’s asset.
Selection
Administrator Appointed
Administrator Review for a Life Insurer
Administrator
A large life insurer’s investment manager ran a formal review to choose the trust’s administrator. Diligence went line by line. LoanTrust™ answered on systems, controls, and staffing, and now serves the trust through an administrator addendum to its trust agreement.
Structure
Trust Formed
Statutory Trust for a Specialty Lender
Owner’s counsel
For a specialty lender investing in its own loans, Goldsmith Associates formed a Delaware statutory trust, with a national bank trustee and a named servicer. The trust holds the loans, not the lender. Each seat took its duties from one trust agreement, with the administrator’s authority written in from the start.
Intellectual capital compounded across
hundreds of engagements papered right.
Because Goldsmith Associates is lead counsel on dozens of secondary market transactions every year, we have visibility into prevailing market dynamics, dexterity with evolving regulatory requirements, proficiency with trending industry practices, and familiarity with major market makers. Our clients reap the dividends of this intellectual capital in the form of practical advice backed by actionable intelligence.
Sharpen your strategyA trust administrator runs the trust between closings. It keeps each series’ books and records, reconciles servicer remittances, works custodial exceptions, routes consents to the owner, and gives the trustee direction within the authority the trust agreement grants. LoanTrust™ serves in that seat for the owner, and the owner keeps every decision the agreement reserves.
The owner trustee holds legal title and acts on written direction, as the trust agreement provides. The administrator does the work after closing. Delaware law lets the trust agreement engage managers or other persons to run the trust, so the trustee’s narrow role and the administrator’s active one can sit side by side in one agreement.
Only if the agreement says so. In IKB v. Wells Fargo, New York’s highest court found that 61 of 86 trust agreements expressly required enforcement. The 25 that did not imposed no duty before an event of default, because “a right is not a duty.” The answer lives in each trust’s own language.
Whatever the documents set. Common triggers include a loan 120 days delinquent, a liquidation at a loss, a modification while delinquent, and an early payment default. Treasury has endorsed loan-level triggers for serious delinquency, liquidation with a loss, and modification. A private owner can write them into the trust and administrator agreements, so a review starts without a vote or a request.
Under New York law, a claim for breach of a loan-level representation accrues when the representation is made, usually at closing, not when the breach is found. The limitation period is six years (ACE Securities v. DB Structured Products). Sunsets and notice terms in the purchase agreement can shorten the practical window.
The NAIC Macroprudential Working Group points regulators to the IMA’s material terms: the fees and how hard or costly the agreement is to end. It also points them to how much discretion the manager holds over guidelines, allocation, and decisions. For whole loans, add which duties the manager disclaims and who performs them instead.
It is a statutory trust whose residential mortgage loans an insurer can report on Schedule B as if it held them directly. Under SSAP No. 37, as revised in December 2025 and effective January 1, 2027, the trust must be domiciled in a U.S. state, and the insurer must own 100% of the trust or of a series that keeps separate records. The trust must stay limited to holding and managing the loans, and the cash must flow through to the insurer, apart from customary fees.
The NAIC’s RBC Model Governance Task Force listed the flat 0.68% life charge as a potential gap. It is not empirically based, and life insurer holdings have grown sharply. A separate accounting proposal asks what counts as a residential loan and which loan details insurers should report. Neither has changed the charge yet.
For a time. Issue Paper No. 172 treats direct ownership of foreclosed property as temporary, lasting only as long as needed to sell it. It warns that operating it for an extended period would almost certainly cost the trust its qualifying status. Wholly owned REO subsidiaries are addressed separately.
Yes, through a declaration of trust FHA approves. Under Mortgagee Letter 2026-02, FHA must approve the declaration before the beneficial interest is sold, the purchasing holder must keep its FHA approval, and an FHA-approved servicer must service the loans.
No. A national bank trustee does not by itself settle a trust’s state licensing, and the OCC has declined to treat trust assets as automatically shielded from state law. The analysis turns on what the trust does, who services the loans, and each state’s own exemptions.
Goldsmith Associates forms Delaware statutory and series trusts for life insurers, banks, hedge funds, and investment managers that buy residential whole loans. LoanTrust™, its affiliate, serves as the owner’s trust administrator, with servicer, custody, breach, and counsel oversight. Engage Jason Goldsmith before the trust documents are signed.
