Deal counsel built for your
repurchase demands & rebuttals.

A demand for repurchase, indemnification, or make-whole can read like a routine notice. Its consequences, however, reach back to the trade… and the window is short. Goldsmith Associates quantifies the exposure, tests each allegation, and answers while the leverage is still on your side of the table.

Originator recourse that has your back when a takeout’s demand hits your desk.

Aggregators seldom lose money on the demand that arrives. They lose it on the seller agreement that fails to match the takeout. Goldsmith Associates closes that gap. Downstream we resolve the investor’s claim; midstream we align the seller guide; and upstream we recover the loss from the seller that booked the premium.

Percentages from the PennyMac Financial 2025 annual report, summary of indemnification and repurchase activity (unpaid principal balance). In 2025, PennyMac Financial repurchased $113.8 million of loans and correspondents took back $70.9 million (62%). Percentages are by unpaid principal balance, not loan count. It carried the other $42.9 million (38%) itself. Of that, $34.6 million was later repaid or resold and $8.4 million (7%) was resolved at a loss. At that scale, each point passed back is worth about $1.1 million. One company’s results, not an industry rate. Recovery on any book depends on its contracts, sellers, and loan files.

Back-to-back recourse tested for end‑to‑end remedy protection.

With a proprietary “back-to-back benchmark,” Goldsmith Associates analyzes each takeout contract and seller guide, side by side, clause against clause, and seller by seller. The gaps surface on paper, not in payment. Our clients see where each claim stops, which deadlines expire first, and which agreements to amend… before a live buyback finds the gap.

Recoveries & rebuttals for aggregators & originators.

Goldsmith Associates understands how and why the issues differ between an agency vs. a private-label takeout, a defect vs. a default trigger, and a binding vs. a rebuttable finding. Every permutation changes the math. That judgment carries across rebuttals, claims, and recovery programs alike… with a proven track record spanning 871+ closed deals.

For a national correspondent aggregator, Goldsmith Associates pressed repurchase and indemnification demands from first notice to litigation handoff. Each seller answered its own contract. One seller’s nearly $700,000 repurchase resolved after a single formal demand, and the rest moved forward on the same written record.

For an originator facing a nearly $1 million claim, Goldsmith Associates tested four MSR sale agreements against the losses claimed. The indemnification demand fell by more than half. It closed with a full release. Other sellers’ six-figure demands, answered inside the window, were withdrawn or sharply cut.

Goldsmith Associates built a bank’s seller recovery program from the ground up: a written protocol, a path from quality control to counsel, and demands in the bank’s own voice. Every open matter sits on one standing report. Under that program, 65 matters covering 103 loans have resolved… including 21 early-payment-default loans, bought back by one seller for $12.7 million.

Sharpen your strategy

A mortgage repurchase demand, often called a buyback demand, is a purchaser’s written claim that a sold loan breached a representation, warranty, or guide requirement. The seller must then buy it back at the price the purchase agreement sets. Fannie Mae, Freddie Mac, private investors, securitization trusts, and aggregators all issue them. The demand is not itself proof that payment is owed. The governing terms and loan facts determine the obligation.

A response to a repurchase demand starts with three documents: the demand itself, the governing purchase agreement or seller guide, and the loan file. The seller owes whatever that contract requires on those facts, not whatever the demand asserts. Acknowledging the deadline, preserving the right to contest, and answering inside the window keep a disputed demand from becoming a payment. Goldsmith Associates prepares that answer for brokers, originators, and aggregators.

The response window is set by the agency guide or the purchase agreement. For loans acquired on or after January 1, 2013, Fannie Mae generally gives the seller 60 days to pay, unless it appeals. Upstream correspondent agreements commonly give the seller far less, often a short, fixed window. Missing the window can forfeit the right to contest the demand. The appeal stages are covered in the Goldsmith Associates analysis of Fannie Mae repurchase appeals.

A Fannie Mae repurchase request arrives through Loan Quality Connect and starts a fixed clock. The seller agrees to the remedy or appeals, and the first appeal is due within 60 days. Before answering, the seller confirms whether each cited defect is significant. It checks whether the loan qualifies under the Selling Guide for a repurchase alternative. It also checks whether its own seller agreement lets the loss pass back to the originator that made the loan. Wait for the appeal deadline to look upstream, and a seller can find its own seller’s window already closed. The steps are covered in how a mortgage repurchase request works and the Goldsmith Associates analysis of Fannie Mae repurchase appeals. Goldsmith Associates reviews the request, the appeal, and the recourse rights before the first response.

An early payment default, or EPD, demand requires the seller to buy back a loan whose borrower fell seriously delinquent soon after the sale. Public correspondent agreements commonly define an EPD as a loan 60 days delinquent within the first 120 days or the first few payments. An EPD clause usually needs no proof of an underwriting defect. The delinquency alone triggers the remedy, which may be repurchase, indemnification, or a premium refund. Whether the demand holds turns on the agreement’s definition, how delinquency is measured, the sale date, and whether the borrower cured before the demand. Correspondents receiving an EPD demand, and aggregators passing one back, should have the clause reviewed before the response window closes. Premium recapture on early payoffs and defaults is covered in the Goldsmith Associates analysis of EPO and EPD recapture.

The seller agreement decides whether a downstream demand passes back. Some agreements make the investor’s demand, or determination, binding on the seller. Others make the aggregator prove that the seller breached its own warranties. The specific contract controls. That is why aggregators review their seller agreements early, and why correspondents read the demand against the warranties they gave.

Repurchase requires the seller to pay the repurchase price and take the loan back onto its own balance sheet. Indemnification is a payment obligation for the purchaser’s covered losses, while the purchaser keeps the loan. A make-whole payment compensates the purchaser for its actual loss on a loan that has been liquidated or sold. Which remedy applies depends on the agreement or agency guide and on the loan’s status. See MLPA remedies beyond repurchase.

Private and non-QM loans can be subject to repurchase, indemnification, or make-whole demands under the agreements governing their sale. Fannie Mae and Freddie Mac have review and relief frameworks, but they do not automatically govern a private transaction. For a private investor, securitization, aggregator, or seller, the contract determines the available claim, response, and remedy.

The repurchase price is set by the agreement, typically the unpaid balance plus any premium paid, accrued interest, and the purchaser’s costs. The economic loss is that price less what the loan brings afterward. Repurchased loans typically can be resold or financed only at a discount, or under a scratch-and-dent sublimit. Rocket Companies’ 2025 Form 10-K states they “typically can only be resold at a discount to their repurchase price, if at all.”

Often, yes. Many purchase agreements allocate enforcement costs, including attorney fees and cure costs, to the seller that breached. Where the agreement or a statute allows it, a demand can recover its own cost on top of the repurchase price or indemnity. The agreement decides what is recoverable, and a recovery right does not remove the cost of pursuing the demand.

A “back-to-back benchmark” is a proprietary analysis of seller agreements. Goldsmith Associates runs it for originators, aggregators, and investors. It determines whether a downstream repurchase demand can be passed back to the seller that made the loan. It shows which contracts will carry a demand, where seller deadlines end after the takeout’s do, which costs can be billed back, and which agreements to amend first before a live demand tests them.

Goldsmith Associates is a Dallas law firm for mortgage banking and secondary-market transactions, with 871+ closed deals.
